SELLER PAYOUT TERMS

Last updated: 29 September 2026

These Seller Payout Terms apply to you if you receive money from sales made through the FirstMove Service as an Event Organizer, venue, or promoter (a "Seller"). They are part of our Terms and Conditions, and words defined there have the same meaning here. If these Seller Payout Terms and the Terms and Conditions conflict on payouts, these Seller Payout Terms apply.

The Service is operated by FirstMove Labs Ltd, a company registered in England and Wales ("FirstMove", "we", "us", or "our").

1. CONNECTED ACCOUNTS

To be paid through the Service, you must connect your own account with a payment processor we support. Which processor you use depends on where you are:

Your connected account is held by you with the processor, not by FirstMove. You are responsible for giving the processor accurate information, keeping your account in good standing, and completing any identity, business, or anti-money laundering checks it asks for. We may pause your sales or payouts if your connected account is restricted, closed, or cannot receive payments.

2. PROCESSOR TERMS

By connecting an account, you agree to the terms of the processor you connect with, which form a separate agreement between you and that processor:

The processor, not FirstMove, decides when money in your connected account is settled to your bank account, and may apply its own fees, reserves, or holds. We are not responsible for a processor's own acts or omissions.

3. HOW YOU ARE PAID

Where the buyer's processor can split the payment to your connected account, your share of each sale is paid to your connected account at checkout, after our fees and any promoter share are taken off. In this case FirstMove does not hold your share.

In some cases FirstMove collects a sale in full and pays your share to you later (a "held payout"). This happens when you have no connected account that can take the payment at the time of the sale, or in the cross-border case described in section 7. A held payout becomes payable after the event has ended and the settlement period in section 6 has passed.

4. FEES

Our fees are set out in the Terms and Conditions:

The fee on ticket sales above is unchanged and always applies, taken from each sale before your share is paid or recorded, whichever choice you make below. Separately, for each event you choose whether a service charge is passed on to buyers or absorbed by you. The service charge is 6% of the ticket price plus a fixed fee of 0.30 in the currency of the sale, per paid ticket. When you pass it on, the buyer pays it on top of your ticket price, shown as a separate charge next to the price everywhere buyers see it, and your share is the full ticket price (less any promoter share). When you absorb it, no service charge is charged to the buyer at all. Room entry fees never carry a service charge. The processor may charge you its own fees under its terms. We may change our fees by giving you at least 30 days' notice; a change does not affect sales already made.

5. PROMOTER COMMISSIONS

If you are an Event Organizer, you may offer promoters a share of the ticket sales they refer (the "promoter share"), set on your listing. If you are a promoter, you agree to that share when you take up the listing. For each referred sale:

If a referred sale is refunded in full or charged back, no promoter share is payable on it. If it is partly refunded, the promoter share may be held while we work out the amount due. If a promoter share cannot be paid through the processor (for example, because the processor's time limit for delayed payments has passed), we will pay it by another method.

6. SETTLEMENT PERIOD AND HOLDS

Held payouts and promoter shares become payable 7 days after the event ends (the "settlement period"). This lets us deal with refunds and chargebacks raised soon after the event. We will give you notice before we change the settlement period.

We may hold a payout for longer if the event is cancelled or significantly changed, if a refund or chargeback is raised on the sale, if we reasonably suspect fraud or a breach of the Terms and Conditions, or if the law or the processor requires it. We will tell you why, unless the law prevents us.

7. CROSS-BORDER SALES

Buyers pay through the processor for their own country. Sometimes the buyer's processor cannot split the payment to your connected account (for example, a buyer in Nigeria pays through Paystack for an event run by a UK Seller connected to Mollie). In that case:

Because the amount is converted on the payout date, the amount you receive may be more or less than it would have been on the date of the sale.

8. REFUNDS

You are responsible for refunds on your sales, in line with your refund policy, the Terms and Conditions, and the law. You authorise FirstMove to process refunds on your sales through the processor. When a refund is made:

9. CHARGEBACKS

You bear the amount of any chargeback on your sales and any chargeback or dispute fee the processor charges. The processor may take these from your connected account, or we may take them from any held payout we owe you. If that is not enough, you must pay us the balance within 14 days of our request. We will pass on evidence you give us to help contest a chargeback, but the result is decided by the card scheme or bank. If a chargeback is decided in your favour, any amount held because of it is released.

10. SET-OFF

We may deduct from any payout we owe you any amount you owe us under these Seller Payout Terms or the Terms and Conditions, including refunds and chargebacks we have paid on your behalf. We will show any deduction on your statement.

11. TAXES

You are responsible for any taxes on your sales, including VAT, and for how your ticket prices are shown to buyers. Our fees are subject to VAT where it applies.

12. CHANGES AND CONTACT

We may change these Seller Payout Terms as described in section 15 of the Terms and Conditions. For questions about payouts, contact us at legal@firstmove.live.
